Please read these Terms carefully before using the Services. By accessing or using the Services you agree to be bound by these Terms. If you do not agree, you must not use the Services. Sections 8 (Prohibited uses), 10 (Tool outputs — no reliance, no responsibility) and 15 (Limitation of liability) contain important limitations and exclusions.
1. About these Terms
These Terms of Service (the "Terms") form a legally binding agreement between you and Soft Cat Media Limited ("we", "us", "our") and govern your access to and use of the websites, tools, applications and application programming interfaces operated by us (together, the "Services").
These Terms apply together with our Privacy Policy, our Copyright Complaints page, and any additional terms displayed on a specific page, product or API. If there is a conflict between these Terms and additional terms shown at the point of purchase or in API documentation, the additional terms prevail for that product to the extent of the conflict.
2. Who we are
The Services are operated by Soft Cat Media Limited, a company incorporated in Hong Kong. Our contact point for all matters relating to these Terms, including legal notices, complaints and take-down requests, is freeeim@gmail.com.
3. Definitions
- "Services" means the websites, online tools, rewriting and text-processing functions, image tools, developer APIs and any other feature we make available, whether free of charge or paid.
- "Input" means any text, file, image, URL or other material you submit to the Services.
- "Output" means any text, file, result or other material generated by the Services and returned to you.
- "Account" means a registered account for the Services.
- "Content" means Input, Output and any other material made available through the Services.
4. Eligibility, accounts and security
- By using the Services you confirm that you have the legal capacity to enter into these Terms, or that you have the consent of a parent or guardian who agrees to them on your behalf.
- You must be at least 18 years old to purchase paid Services. Users between 13 and 17 years of age may use the free parts of the Services only with the consent of, and under the supervision of, a parent or guardian.
- You must provide accurate, current and complete registration information and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. You must notify us promptly at freeeim@gmail.com if you suspect unauthorised use of your Account.
- You must not create an Account by automated means, create multiple Accounts in order to obtain additional free quota, or share, sell, rent or transfer your Account or API credentials to any other person. We may suspend or terminate any Account that we reasonably believe is being used in breach of this clause.
5. The Services
The Services are online language and content tools whose purpose is to help you rewrite, paraphrase, process and analyse text and other material. They may include:
- Chinese synonym-sentence rewriting and paraphrasing tools;
- AI-assisted writing, drafting and text generation functions;
- text analysis, word counting, URL text extraction and similar utilities;
- image processing and formatting tools;
- developer APIs (including HTTP endpoints), documented separately and subject to their own usage limits, quotas and acceptable-use requirements.
The Services rely on automated algorithms, statistical and language models, and third-party technology components. They are tools for human users and are not a substitute for professional judgment or human review. We may add, modify, limit, suspend or discontinue any part of the Services at any time, including any free feature or quota.
6. Licence to use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your own lawful personal or internal business purposes, during the period in which the Services are made available to you. This licence does not permit you to sub-licence, resell, redistribute or commercially exploit the Services or access to them without our prior written consent.
7. Your content and your responsibilities
- You are solely responsible for your Input and for how you use any Output.
- You represent and warrant that you own or have all necessary rights, licences and permissions in respect of your Input, and that our processing of your Input as described in these Terms and in our Privacy Policy does not infringe the rights (including intellectual property and privacy rights) of any third party and does not breach any law, contract or duty of confidence.
- You must not submit personal data of other individuals unless you have their consent or another lawful basis, and you must not submit confidential information, trade secrets or information that you are prohibited from disclosing.
- You must not submit material that is unlawful, defamatory, obscene, hateful, discriminatory, harassing, fraudulent or that promotes violence or illegal activity.
- You must keep your own backups and records of anything you regard as important. We are not a storage or archiving service, and we do not retain your Input after processing (see our Privacy Policy).
8. Prohibited uses
The Services must be used for lawful purposes only. You must not use the Services, or permit or enable anyone else to use the Services, for any unlawful purpose or in any manner prohibited by these Terms or by the laws of the Hong Kong Special Administrative Region or of any other place in which you use the Services.
Without limiting the generality of the above, you must not:
- use the Services for any purpose that is unlawful, fraudulent, deceptive or misleading, or that facilitates, assists or conceals any criminal offence or unlawful act;
- use the Services to create, alter, publish, transmit or distribute material that is unlawful, defamatory, obscene, indecent, hateful, discriminatory, threatening, harassing, violent, or that constitutes misinformation intended to cause harm;
- use the Services to infringe or misappropriate the intellectual property rights, privacy rights, confidentiality or other rights of any person, including by reproducing or processing text or images that you do not have the right to use;
- use the Services to post or disclose other people's personal data without consent, or to engage in doxxing within the meaning of section 64 of the Personal Data (Privacy) Ordinance (Cap. 486);
- use the Services to commit plagiarism, or to misrepresent the authorship or originality of any work, or to circumvent the academic integrity policies of any school, university, journal, examination body or employer, or any AI-detection or plagiarism-detection system;
- use the Services for the purposes of phishing, social engineering, spam, mass unsolicited communications, fake reviews, fake news, market manipulation, or the creation of deceptive or fraudulent documents;
- introduce or transmit any virus, worm, Trojan, ransomware, spyware, botnet component or other harmful code, or interfere with, disrupt, overload or attempt to gain unauthorised access to the Services, our servers or networks or those of any third party;
- bypass, disable or circumvent any rate limit, quota, anti-abuse mechanism, verification step, geographic restriction or other technical protection measure of the Services, or use the Services in a way that we reasonably consider to be abusive, excessive or contrary to the intended operation of the Services;
- scrape, crawl, harvest or systematically extract data or Output from the Services except through the developer APIs made available by us and in accordance with their documented terms;
- reverse engineer, decompile, disassemble or attempt to derive the source code, models, weights, algorithms or underlying structure of the Services, except to the extent permitted by applicable law;
- purchase, obtain or use the Services from a jurisdiction where the provision of the Services would be unlawful, or use the Services in breach of any applicable export control, sanctions or anti-money-laundering laws;
- use the Services to develop, train or improve a competing product or service, or to benchmark or evaluate the Services for a competitor, without our prior written consent;
- misrepresent your identity or affiliation, or impersonate any person or entity.
We may investigate suspected breaches, restrict, suspend or terminate your access, withhold or forfeit unused paid quota where the breach is material, and report conduct to law enforcement or regulatory authorities where appropriate. You are solely liable for any loss, damage, cost or claim arising from your breach of this section.
9. Intellectual property
- All intellectual property rights in the Services, including software, models, algorithms, text, design, layout, graphics, trade marks, logos and documentation, belong to us or our licensors and are protected by the Copyright Ordinance (Cap. 528) of Hong Kong and other applicable laws. No rights are granted to you other than the limited licence in section 6.
- As between you and us, you retain ownership of your Input.
- As between you and us, and to the extent that we own any intellectual property rights in the Output, we assign to you all such rights in the Output, subject to: (a) any rights of third parties in the Input or in pre-existing material; (b) our ownership of the Services, the models and the software used to create the Output; and (c) third-party rights in any components used by the Services. This means that we cannot, and do not, promise that Output is original, unique or free of third-party rights.
- We may use anonymised, aggregated and de-identified technical and statistical information about the operation and use of the Services (which does not identify you or contain your Input) for monitoring, capacity planning, security and improvement of the Services.
- If you provide us with feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction or compensation.
10. Tool outputs — no reliance, no responsibility
You are solely responsible for Output and for any use you make of it. Output is provided for your own reference and self-use only. We do not accept responsibility or liability for the content, accuracy or consequences of any Output, or for any reliance placed on it by you or by any third party.
You acknowledge and agree that:
- Outputs are machine-generated. The tools use automated algorithms, statistical and language models that may be incomplete, out of date or unreliable. Output may contain errors, omissions, inaccuracies, unnatural wording, grammatical mistakes, or factual statements that are wrong or fabricated. It may also fail to preserve the meaning of the original text.
- No human review by us. Output is not reviewed, verified, edited or approved by us before it is returned to you. It is your responsibility to review, verify, edit and correct any Output before you use it or publish it.
- No guarantee of uniqueness. Similar inputs frequently produce similar outputs, and Output may resemble text generated for other users or material already existing elsewhere. We do not guarantee that Output is original, that it will pass any plagiarism or similarity check, that it will not infringe third-party rights, or that it will not be detected or flagged by any AI-detection, plagiarism-detection or academic-integrity system.
- No professional advice. Output is not legal, medical, financial, tax, accounting, engineering, translation or academic advice, and must not be relied upon as such. You should obtain advice from a suitably qualified professional before acting on anything produced by the Services.
- No fitness for a particular purpose. We do not warrant that Output is suitable for your intended purpose, including any requirement of search engine optimisation, publication standards, examination, academic submission, editorial workflow, or compliance with any law, regulation, contract or industry standard.
- Sole responsibility for consequences. Any use of Output is at your own risk and is your own act. We are not responsible or liable for any consequence of your use of Output, including lost marks, academic or professional disciplinary action, rejection or de-indexing by a search engine or platform, loss of a contract or client, reputational damage, claims by third parties, or any other loss. The Services are provided to assist you; the decision whether and how to use the Output is yours alone.
- Your duty to verify. If you intend to use Output in any professional, academic, commercial or public context, you must check it for accuracy, legality and originality, and ensure that the use complies with all applicable rules and the policies of any institution or platform involved.
11. Free and paid Services; fees and refunds
11.1 Free Services
- Parts of the Services are available free of charge, subject to a usage quota, character limit, request limit or the availability of resources.
- Free features and free quotas may be changed, reduced, withdrawn or discontinued at any time, and may be subject to additional conditions such as registration, verification by email or mobile number, or a single account per person.
- Free Services are provided as a courtesy and do not create any entitlement, expectation of continuity or service level.
11.2 Paid Services
- Parts of the Services are provided for a fee on the plans, quotas and durations described on the relevant purchase page of the website at the time of your order. The scope, price, features and validity period of each plan are those shown on that page and form part of these Terms.
- Prices may be changed at any time for future purchases. Changes do not affect a plan you have already purchased and paid for.
- Payment is made through one or more third-party payment service providers. Your payment may also be subject to that provider's own terms and charges. We do not receive or store your full payment card or wallet credentials; the provider processes payment data under its own privacy policy.
- You must pay all applicable taxes and duties in connection with your purchase, other than taxes on our own income.
- Unless expressly stated on the purchase page, plans do not renew automatically. Where a plan does renew automatically, that will be disclosed before purchase and you may cancel the renewal before the next billing date using the channel identified at the time of purchase.
- You are responsible for ensuring that the account or order details you provide are accurate. Where an order is subject to manual review by us or by the payment provider, the paid entitlement may be activated after the review is completed.
11.3 Refunds
- Fees for quota or usage that has already been consumed, including generated Output, are not refundable.
- If you consider that you have been charged in error, that a payment failed but was debited, or that the paid Services were not made available to you at all, please contact us at freeeim@gmail.com with your order reference and we will investigate.
- Where a refund is due, it will be made through the original payment channel, and the amount will be for the unused portion of the plan, as a proportion of the remaining quota or validity period. Additional details of any refund arrangement for a particular plan will be stated on the purchase page for that plan.
- Refunds are not available where the request arises from a breach of these Terms by you, from your own error or change of mind about a plan that has already been partly consumed, or where we have suspended or terminated your access for a material breach.
- If you initiate a chargeback or payment dispute without first contacting us, we may suspend your access while the dispute is investigated.
12. Availability, changes, suspension and termination
- The Services are provided on an "as available" basis. We do not guarantee uninterrupted, timely, secure or error-free operation, and we do not offer a service level commitment unless expressly set out in a separate written agreement (for example, for API customers).
- The Services may be unavailable during maintenance, upgrades, capacity constraints, network or hosting failures, or events beyond our reasonable control.
- We may suspend or terminate your access to all or part of the Services, with or without notice, if we reasonably believe that you have breached these Terms or any applicable law, that your use creates a risk of harm or liability to us or to any third party, or that suspension is necessary for security or operational reasons. Where the suspension is not urgent, we will normally give notice.
- You may stop using the Services at any time. If you wish to close your Account, contact us at the email address in section 22.
- On termination, the rights and obligations that by their nature should survive will survive, including sections 7 to 10, 15, 16, 17, 20 and 21, together with any accrued payment obligations.
13. Third-party services and links
The Services may integrate with, link to, or rely on third-party services, including payment providers, login providers, analytics providers, hosting providers and open-source components. We do not control those third parties and are not responsible for their content, availability, security or practices. Where we link to a third-party site, the link does not imply endorsement, and your use of the third-party service is governed by its own terms and privacy policy.
14. Disclaimers
To the fullest extent permitted by applicable law, the Services and all Output are provided "as is" and "as available", without any warranty, representation, condition or term of any kind, whether express, implied or statutory. In particular, we disclaim all implied warranties of merchantability, quality, fitness for a particular purpose, accuracy, non-infringement, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.
Nothing in these Terms excludes, restricts or modifies any liability, right or remedy that cannot lawfully be excluded, restricted or modified, including:
- any liability for death or personal injury resulting from negligence;
- any liability for fraud or fraudulent misrepresentation;
- any liability arising under the Control of Exemption Clauses Ordinance (Cap. 71) of Hong Kong, to the extent that it restricts the exclusion or limitation of liability;
- any liability arising under the Supply of Services (Implied Terms) Ordinance (Cap. 458) of Hong Kong, including the implied term that a supplier of services will carry out the service with reasonable care and skill, to the extent that the Ordinance restricts its exclusion;
- any other statutory right or remedy that may not be excluded or limited under the laws of the Hong Kong Special Administrative Region.
15. Limitation of liability
Subject to section 14, and to the fullest extent permitted by applicable law:
- we are not liable for any indirect, incidental, special, consequential, punitive or exemplary loss or damage, or for any loss of profits, revenue, business, opportunity, goodwill, anticipated savings, data, marks, grades, contracts, clients or reputation, whether arising in contract, tort (including negligence), statute or otherwise, and whether or not we were advised of the possibility of such loss;
- we are not liable for any loss or damage arising from your use of, or reliance on, any Output, or from any decision made or action taken on the basis of Output;
- we are not liable for any loss or damage arising from interruption, unavailability, delay, degradation or discontinuation of the Services, from loss of or corruption of data transmitted to or from the Services, or from unauthorised access to or use of the Services by a third party, except to the extent caused by our failure to take reasonable security measures required by law;
- our total aggregate liability to you for all claims arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the total amount you paid to us for the Services in the twelve months immediately preceding the event giving rise to the claim, and (b) HK$100.
This section does not limit or exclude any liability that cannot be limited or excluded under applicable law, as described in section 14.
16. Indemnity
You agree to indemnify, defend and hold harmless us and our directors, officers, employees, agents, contractors and service providers from and against all claims, actions, proceedings, losses, damages, liabilities, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your Input; (b) your use of the Services or any Output, including any decision or action taken on the basis of Output; (c) your breach of these Terms or of any applicable law; or (d) your infringement of the rights of any third party, including intellectual property, privacy and confidentiality rights.
17. Copyright and other complaints
We respect intellectual property rights. If you believe that material accessible through the Services infringes your copyright or other rights, please follow the procedure set out on our Copyright Complaints page, which explains the notice requirements under the Copyright Ordinance (Cap. 528) of Hong Kong and provides a DMCA-style notice template. Our designated contact for such notices is freeeim@gmail.com.
We may, in appropriate circumstances and at our discretion, suspend or terminate the accounts of users who are repeat infringers, and we may remove or disable access to material in response to a valid notice.
18. Relationship with the earlier Chinese service agreement
We previously published a Chinese-language service agreement (《小发猫服务协议》), archived at /about/agreement.php. These Terms are the current terms governing the Services. Where you previously accepted the archived Chinese agreement, these Terms supplement it and, to the extent of any inconsistency, these Terms prevail in respect of your use of the Services from the date of the "Last updated" date shown above.
19. Changes to these Terms
We may revise these Terms from time to time, for example to reflect changes in the Services, in our practices or in the law. The revised Terms will be posted on this page with a new "Last updated" date. Where the changes are material, we will take reasonable steps to bring them to your attention, such as a notice on the website. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Services.
20. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region, subject to any mandatory rule of law in your place of residence that gives you the right to bring proceedings elsewhere. Nothing in these Terms affects your statutory rights as a consumer under the laws of Hong Kong that cannot be waived. Before commencing proceedings, we ask that you contact us so that we can attempt to resolve the matter in good faith.
21. General
- Severability: if any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary or, if it cannot be modified, severed, and the remaining provisions will continue in full force.
- No waiver: our failure or delay in exercising any right is not a waiver of that right.
- Assignment: you may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor entity, including in connection with a merger, acquisition or sale of assets.
- Entire agreement: these Terms, together with the Privacy Policy, the Copyright Complaints page and any product-specific terms, constitute the entire agreement between us regarding the Services and supersede any prior agreement or representation on the same subject matter, except as stated in section 18.
- No third-party rights: no person who is not a party to these Terms has any right to enforce any provision of them.
- Force majeure: we are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, epidemics, war, civil unrest, government action, power or network failure, or the acts of third-party service providers.
- Notices: notices to us must be sent to the email address in section 22. Notices or disclosures to you may be given by posting on the website, by email to the address registered on your Account, or by an in-product message.
- Language: these Terms are issued in English, which is the governing version. If we make any translation of these Terms available, the English version prevails to the extent of any inconsistency.
